These Terms of Service (the “Terms”) form a binding agreement between Lyon Park Technologies, LLC, a Virginia limited liability company (“Lyon Park Technologies,” “we,” “us,” or “our”), and the customer entity identified during account creation (the “Customer” or “you”) governing access to and use of the MyFuelHQ™ software platform and any related services made available by Lyon Park Technologies (collectively, the “Services”).
1. Acceptance of These Terms
By creating an account, accessing, or using the Services, you agree to these Terms on behalf of the Customer entity you represent and confirm that you have the authority to bind that entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services.
These Terms apply to the Customer entity and to each individual you authorize to access the Services on your behalf (each, an “Authorized User”). You are responsible for the acts and omissions of your Authorized Users as if they were your own. Lyon Park Technologies’ affiliates may provide portions of the Services and are intended third-party beneficiaries of these Terms.
2. Account Registration, Authorized Users, and Security
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of all account credentials, including passwords and any API keys, and for all activity that occurs under your account.
You must promptly notify Lyon Park Technologies at support@myfuelhq.com of any suspected unauthorized access, credential compromise, or breach of security. You are responsible for implementing reasonable internal controls over user provisioning, deprovisioning, and role assignment for your Authorized Users.
3. Description of the Services
MyFuelHQ™ is a multi-tenant software-as-a-service platform that helps independent fuel retailers ingest supplier documents, monitor tank levels, reconcile deliveries against invoices and payments, track point-of-sale activity, and report on fuel margins. Specific features and integrations are made available from time to time at Lyon Park Technologies’ discretion and may be added, modified, or removed without notice, provided that Lyon Park Technologies will not materially degrade core paid functionality during a current billing period without good-faith reason.
4. Subscription, Billing, and Renewal
The Services are offered on a paid subscription basis. As of the date of these Terms, subscriptions are sold on a per-station, per-month basis at volume-tiered pricing of $349 for one (1) station, $299 per station for two (2) to four (4) stations, $249 per station for five (5) to nine (9) stations, and $199 per station for ten (10) or more stations. Pricing in effect at the time of your renewal will apply to that renewal term. A single subscription is associated with the Customer’s billing owner email and may cover one or more stations operated by that Customer.
Subscription fees are billed monthly in advance through Stripe, Inc. (“Stripe”) using the payment method on file. By providing a payment method, you authorize Lyon Park Technologies (and Stripe acting on its behalf) to charge that payment method for the applicable subscription fees, plus any applicable taxes, on each renewal date until you cancel.
Automatic Renewal. Subscriptions automatically renew on a month-to-month basis unless cancelled before the next billing date. You may cancel at any time from within the billing area of the Services or by contacting support@myfuelhq.com. Cancellation takes effect at the end of the current paid billing period.
Failed Payments. If a payment fails, Lyon Park Technologies may suspend the Services following a grace period. Continued non-payment may result in termination of the subscription and account.
Web-Only Subscription Sales. Subscriptions to the MyFuelHQ™ platform are sold exclusively through https://myfuelhq.com. We do not currently offer in-app subscription purchases through the Apple App Store or Google Play Store. The mobile applications, when available, are free to download and require an existing web subscription to use.
5. Free Trial
Lyon Park Technologies offers a fourteen (14) day free trial of the Services. Trials are intended for evaluation only and may be limited or revoked by Lyon Park Technologies at any time.
Payment method required at signup. A valid payment method must be provided at the time you sign up for the trial. Your payment method will not be charged during the trial period.
Auto-conversion at trial end. If you do not cancel before the end of the fourteen (14) day trial period, your subscription will automatically convert to a paid subscription and your stored payment method will be charged for the first billing cycle on the day the trial ends. The applicable subscription fee is the volume-tiered price in effect at the time of conversion (see Section 4).
Cancellation during trial. You may cancel at any time before the trial ends from within the billing area of the Services or by contacting support@myfuelhq.com. Cancellation during the trial period results in no charge.
6. Refund Policy
30-Day Money-Back Guarantee for First-Time Customers. If you are a first-time customer and you are not satisfied with the Services, you may request a full refund of the fees paid for your initial paid subscription within thirty (30) days of the start date of that initial paid subscription. This guarantee applies only once per customer entity and only to the first paid subscription period; renewals, additional stations added later, and subsequent reactivations are not eligible. To request a refund under this guarantee, email support@myfuelhq.com before the end of the thirty (30) day window.
No Refunds Outside the Guarantee Window. Outside the 30-day money-back guarantee window, except as expressly stated in these Terms or as required by applicable law, all fees are non-refundable. Lyon Park Technologies does not provide refunds or credits for partial billing periods, partial months of usage, unused portions of any subscription, downgrades, or features that are added or removed during a billing period. Cancellation will be effective at the end of the then-current billing period and you will retain access to paid functionality through that date.
Outage Remedies Are Service Credits, Not Cash. Any remedy issued under the uptime commitment in Section 11 (Service Levels), or as a goodwill adjustment for a service interruption, is provided exclusively as a service credit applied to the Customer’s next invoice. Service credits are non-refundable, non-transferable, and cannot be redeemed for cash.
7. Acceptable Use Policy
You and your Authorized Users will not, and will not permit any third party to:
- access or use the Services in any way that violates applicable law, regulation, or third-party rights;
- scrape, crawl, harvest, or otherwise extract data from the Services through automated means, except via published API endpoints used in accordance with these Terms;
- resell, sublicense, lease, time-share, or otherwise make the Services available to any third party, except for your Authorized Users in the ordinary course of operating your stations;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas, structure, or organization of the Services, except to the extent this restriction is prohibited by applicable law;
- use, store, or export the parsed outputs of any AI-assisted feature of the Services to train, fine-tune, evaluate, or develop a competing product or service;
- attempt to probe, scan, or test the vulnerability of the Services, breach any security or authentication measures, or interfere with the integrity, performance, or availability of the Services or the data of other customers;
- upload or transmit any content that infringes intellectual property rights, contains malicious code, or violates the privacy or publicity rights of any third party; or
- remove, obscure, or alter any proprietary notices on the Services or in any output generated by the Services.
Lyon Park Technologies may suspend or terminate access for Customers or Authorized Users that violate this Section, in addition to any other remedies available.
8. Customer Data and Intellectual Property
Customer Data. “Customer Data” means data, documents, telemetry, configuration, and other content that you or your Authorized Users submit to the Services or that the Services collect from your equipment (including tank monitors and point-of-sale systems) or your forwarded supplier emails. As between the parties, you retain all right, title, and interest in and to Customer Data.
License to Lyon Park Technologies. You grant Lyon Park Technologies a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely to provide, secure, monitor, troubleshoot, and improve the Services for you and to comply with applicable law.
Third-Party Data in Customer Data. Customer Data may include personal or business information about third parties such as fuel suppliers, haulers, drivers, or customers (“Third-Party Data”). You represent and warrant that you have all necessary rights, consents, and authorizations to provide Third-Party Data to Lyon Park Technologies and to permit Lyon Park Technologies to process it as contemplated by these Terms. As between you and Lyon Park Technologies, you are the controller of Third-Party Data and Lyon Park Technologies processes it on your behalf.
Lyon Park Technologies IP. Lyon Park Technologies and its licensors retain all right, title, and interest in and to the Services, the MyFuelHQ™ brand, all related software, algorithms, models, dashboards, templates, and documentation, and any improvements thereto. No rights are granted to you other than the limited right to access and use the Services in accordance with these Terms.
Aggregated and De-Identified Data. Lyon Park Technologies may generate aggregated, anonymized, and de-identified data from Customer Data and use such data for benchmarking, analytics, product improvement, security, and industry reporting, provided that the resulting data does not identify the Customer, any Authorized User, or any third party.
Feedback. If you provide feedback, suggestions, or ideas regarding the Services, you grant Lyon Park Technologies a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.
9. AI-Assisted Features and Disclaimers
The Services use third-party large language models, including Anthropic, PBC’s Claude API, to extract structured data from documents you submit (such as bills of lading, invoices, and electronic funds transfer notices). AI-assisted parsing is probabilistic and may produce errors, including misread numbers, misclassified documents, or missed fields. You are responsible for verifying any output before relying on it for financial, regulatory, accounting, tax, or operational decisions.
Lyon Park Technologies is not liable for losses, damages, or claims arising from your reliance on AI-generated output without independent verification. Lyon Park Technologies makes no warranty as to the accuracy, completeness, or fitness of AI-generated output for any particular purpose.
Lyon Park Technologies does not authorize Anthropic or any other AI subprocessor to use Customer Data to train its foundational models. Lyon Park Technologies relies on its subprocessors’ enterprise terms and standard no-training defaults to enforce this (including Anthropic’s enterprise default that prohibits use of API inputs and outputs for model training); should those defaults change, Lyon Park Technologies will provide notice as required by Section 20 (Modification of These Terms) and its Privacy Policy.
AI processing is part of the Services. Customer documents submitted to the Services are processed by AI as a core part of how the Services work. AI-assisted parsing is not optional, and Lyon Park Technologies does not offer a manual-only processing tier. Customers who do not wish to have documents processed by AI should not submit those documents to the Services.
10. Third-Party Integrations
The Services may interoperate with third-party hardware (including Veeder-Root automatic tank gauges and Gilbarco Passport point-of-sale systems), third-party supplier portals, and third-party email and payment infrastructure. Lyon Park Technologies is not responsible for the availability, accuracy, security, or content of any third-party product or service, for any changes those third parties make to their systems, or for any data quality issues originating with them. Your use of any third-party product or service is governed by the terms between you and that third party.
11. Service Levels
Lyon Park Technologies targets a monthly uptime of 99.5% for the production dashboard, calculated on a calendar-month basis and excluding scheduled maintenance, force majeure events, third-party outages outside Lyon Park Technologies’ reasonable control, and Customer-caused issues.
If Lyon Park Technologies fails to meet the 99.5% target in a calendar month, your sole and exclusive remedy will be a service credit calculated against the prorated monthly subscription fee for the affected month, on the following tiered basis:

Service credits must be requested in writing to support@myfuelhq.com within thirty (30) days after the end of the affected month. Consistent with Section 6 (Refund Policy), service credits are issued exclusively as credits applied to the Customer’s next invoice; they are non-refundable, non-transferable, and may not be redeemed for cash.
12. Confidentiality
Each party (the “Receiving Party”) may receive confidential information from the other party (the “Disclosing Party”) in connection with these Terms. The Receiving Party will (i) protect the Disclosing Party’s confidential information using at least the same degree of care it uses to protect its own confidential information of like importance (and in no event less than reasonable care), (ii) use such information only to perform its obligations or exercise its rights under these Terms, and (iii) not disclose such information to any third party except to its employees, agents, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Section.
Confidential information does not include information that is or becomes publicly available without breach of this Section, was known to the Receiving Party without confidentiality obligation prior to disclosure, is independently developed without use of the Disclosing Party’s confidential information, or is rightfully received from a third party without confidentiality obligation. Disclosure required by law, regulation, or valid legal process is permitted, provided that the Receiving Party gives reasonable notice (where lawful) to the Disclosing Party.
13. Warranty Disclaimer
The services are provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by applicable law, Lyon Park Technologies disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising out of course of dealing or usage of trade. Lyon Park Technologies does not warrant that the services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will either party be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or in connection with these terms or the services, whether based in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.
Each party’s aggregate liability arising out of or in connection with these terms or the services will not exceed the greater of (i) the amounts paid or payable by customer to Lyon Park Technologies for the services in the twelve (12) months immediately preceding the event giving rise to liability, or (ii) one thousand U.S. dollars ($1,000).
The foregoing limitations and exclusions do not apply to: (a) a party’s indemnification obligations under Section 15; (b) breach of confidentiality obligations under Section 12; (c) infringement or misappropriation of the other party’s intellectual property rights; (d) gross negligence, fraud, or willful misconduct; or (e) Customer’s payment obligations under Section 4.
15. Indemnification
By Lyon Park Technologies. Lyon Park Technologies will defend Customer against any third-party claim alleging that the Services, when used as authorized under these Terms, infringe a third party’s United States patent, copyright, or trademark, and will indemnify Customer against damages and costs finally awarded by a court of competent jurisdiction or agreed in settlement, provided that Customer (i) promptly notifies Lyon Park Technologies in writing of the claim, (ii) gives Lyon Park Technologies sole control of the defense and settlement, and (iii) provides reasonable cooperation. Lyon Park Technologies has no obligation under this Section for claims arising from (a) Customer Data, (b) modification of the Services not made by Lyon Park Technologies, (c) combination of the Services with non-Lyon Park Technologies products or data, or (d) Customer’s breach of these Terms.
By Customer. Customer will defend Lyon Park Technologies, its affiliates, and their respective officers, directors, employees, and agents against any third-party claim arising out of or relating to (i) Customer Data or Third-Party Data, (ii) Customer’s or any Authorized User’s use of the Services in breach of these Terms, or (iii) any violation of applicable law by Customer or its Authorized Users, and will indemnify the foregoing parties against damages and costs finally awarded or agreed in settlement, subject to the same notice, control, and cooperation conditions stated above.
16. Term, Termination, and Data Export
These Terms remain in effect for as long as you have an account or active subscription with Lyon Park Technologies. Either party may terminate for the other’s material breach that is not cured within thirty (30) days after written notice. Lyon Park Technologies may suspend or terminate immediately for non-payment, violation of Section 7 (Acceptable Use Policy), or activity Lyon Park Technologies reasonably believes presents a security or legal risk.
Either party may terminate for convenience by providing notice through the cancellation tools in the Services or by writing to support@myfuelhq.com. Termination by Customer for convenience is effective at the end of the then-current billing period.
Effect of Termination. Upon termination, Customer’s right to access the Services ends. Sections that by their nature should survive termination will survive, including Sections 7, 8, 12, 13, 14, 15, 18, 19, 20, and 23.
Data Export Window. For thirty (30) days after termination, Lyon Park Technologies will make Customer Data available for export through the Services or upon written request to support@myfuelhq.com. After that window, Lyon Park Technologies may delete Customer Data from active production systems subject to backup retention windows and any legal retention obligations described in the Privacy Policy.
17. DMCA Notice and Takedown
Lyon Park Technologies respects the intellectual property rights of others and responds to claims of copyright infringement consistent with the Digital Millennium Copyright Act (“DMCA”).
Designated agent registration status. Lyon Park Technologies has not yet registered a designated DMCA agent with the U.S. Copyright Office. In the meantime, copyright infringement notices may be sent to legal@myfuelhq.com following the substantive requirements of 17 U.S.C. § 512(c)(3). A complete notice should include:
- identification of the copyrighted work claimed to have been infringed;
- identification of the material claimed to be infringing, with information sufficient to allow us to locate it;
- your contact information, including name, address, telephone number, and email address;
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf, together with your physical or electronic signature.
We respond to valid notices within a commercially reasonable time. We will register a designated agent with the U.S. Copyright Office and update this Section with the agent’s details once that filing completes.
Lyon Park Technologies may, in appropriate circumstances and at its discretion, terminate the accounts of users who are repeat infringers.
18. Governing Law, Venue, and Jury Trial Waiver
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Subject to Section 19 (Dispute Resolution), the state and federal courts located in Arlington County, Virginia have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to personal jurisdiction in those courts and waives any objection to venue.
To the fullest extent permitted by applicable law, each party waives any right to a trial by jury in any proceeding arising out of or relating to these terms.
19. Dispute Resolution and Class Action Waiver
Informal Resolution. Before filing any claim, the parties agree to attempt to resolve the dispute through good-faith informal negotiation for a period of at least sixty (60) days, beginning when one party sends a written notice of the dispute to the other.
Binding Arbitration. If informal resolution fails, the dispute will be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration will be conducted in Arlington County, Virginia, by a single arbitrator. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs and attorneys’ fees, except as awarded by the arbitrator under applicable law.
Small Claims Carve-Out. Either party may bring an individual action in small claims court for disputes within that court’s jurisdiction in lieu of arbitration.
Class Action Waiver. The parties agree that each may bring claims against the other only in their individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party’s claims and may not preside over any form of representative or class proceeding.
20. Modification of These Terms
Lyon Park Technologies may modify these Terms from time to time. For material changes, Lyon Park Technologies will provide at least thirty (30) days’ prior notice by email to the Customer’s billing owner address and through an in-app notice. Non-material changes are effective when posted. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to a material change, your sole remedy is to cancel your subscription before the effective date.
21. Force Majeure
Neither party will be liable for any delay or failure to perform (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, pandemic, internet or utility outages, or failures of third-party hosting, payment, or telecommunications providers.
22. Assignment
Customer may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without Lyon Park Technologies’ prior written consent. Lyon Park Technologies may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or to an affiliate, without consent. Any unauthorized assignment is void.
23. Severability, Integration, and No Waiver
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms (together with the Privacy Policy and any order form or written agreement signed by the parties) constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements on the subject. Failure to enforce any right is not a waiver of that right.
24. Notices
Lyon Park Technologies may provide notices to Customer by email to the billing owner address on file, through the Services, or by posting to the MyFuelHQ™ website. Customer may provide notices to Lyon Park Technologies by email to legal@myfuelhq.com or by mail to the physical address listed below. Notices are effective when sent.

26. Effective Entity
These Terms are between you and Lyon Park Technologies, LLC, a Virginia limited liability company with offices at 2758 Washington Blvd, Arlington, VA 22201. MyFuelHQ™ is a product of Lyon Park Technologies, LLC. The MyFuelHQ™ mark is a trademark of Lyon Park Technologies, LLC.
